These Terms of Service set out the general terms that apply when you access or use the Zetech website, online tools and services.
By using the Zetech website or engaging Zetech to provide services, you agree to these Terms of Service to the extent they apply to your use of the relevant service.
If you enter into a separate written agreement, statement of work, proposal or other contract with Zetech for a particular service, that agreement will apply to the specific services covered by it. Where there is a conflict, the specific agreement will take precedence over these general Terms of Service.
1. About Zetech
Zetech provides technology services including:
- Managed Microsoft 365 and SaaS services
- Cloud and DevOps services
- AI and Agentic AI solutions
- Website and digital experience development
- Technology consulting and implementation
- Technical support and service desk services
- Related technology and professional services
References to "Zetech", "we", "us" or "our" mean Zetech.
References to "you" or "your" mean the person or organisation using our website, tools or services.
2. Using the Zetech website
You may use zetech.nz for lawful purposes and in accordance with these Terms.
You must not:
- Use the website for unlawful, fraudulent or malicious purposes
- Attempt to gain unauthorised access to our systems or infrastructure
- Interfere with the operation or security of the website
- Introduce malware or other harmful code
- Scrape, copy or reproduce substantial portions of the website without permission
- Misrepresent your identity or authority when interacting with Zetech
- Use our systems to transmit material that you do not have the right to use
We may restrict or suspend access where reasonably necessary to protect our systems, users or services.
3. AI tools and ARIA
Zetech provides AI-assisted tools, including ARIA and the AI Website Planner.
These tools are designed to assist with planning, information gathering, recommendations, website planning and preliminary estimates.
AI-generated information is provided as an assistance tool and should not be treated as a guarantee, professional advice or a binding quotation unless Zetech expressly confirms it in writing.
In particular:
- Planner estimates are indicative only
- AI-generated recommendations may not account for every requirement or circumstance
- A generated plan does not create an obligation for Zetech to provide the proposed services
- An estimate is not a formal quotation
- A formal quote or proposal issued by Zetech takes precedence over an AI-generated estimate
You remain responsible for reviewing information generated by our AI tools before relying on it for a business, technical or purchasing decision.
You should not submit passwords, authentication credentials, payment card information or sensitive information belonging to another person into an AI tool unless specifically required and authorised.
Our handling of personal information is described in our Privacy Policy.
4. Quotes and proposals
Information displayed on the Zetech website, including service descriptions, pricing examples, planner estimates and promotional information, is provided for general information unless expressly identified as a formal offer or quotation.
A quote or proposal issued by Zetech may specify:
- Scope of work
- Deliverables
- Pricing
- Payment terms
- Estimated timeframes
- Customer responsibilities
- Third-party services
- Assumptions and exclusions
- Support or maintenance arrangements
A quote becomes binding only when accepted in the manner specified by Zetech.
Zetech may require additional information before confirming a quote or commencing work.
5. Providing services
The specific scope of services provided to a customer will depend on the relevant quote, proposal, statement of work or agreement.
We will use reasonable care and skill when providing services.
Project timelines are estimates unless a specific delivery date has been expressly agreed.
Delivery may depend on information, access, approvals, credentials, content, third-party services or other dependencies controlled by the customer or another provider.
Where delays result from those dependencies, the agreed timeframe may need to change.
6. Customer responsibilities
You are responsible for providing accurate information and reasonable access necessary for Zetech to perform the agreed services.
Depending on the service, this may include providing:
- Accurate business and contact information
- Website content and assets
- Appropriate administrative access
- Microsoft 365 or other SaaS permissions
- Domain and DNS access
- Timely approvals and decisions
- Required licences or subscriptions
- Information reasonably required to perform the work
You must ensure that you have the authority to provide information, content, credentials and access supplied to Zetech.
You remain responsible for maintaining appropriate ownership and licensing rights for content, software, data and other materials that you provide.
7. Third-party services
Zetech may use or integrate third-party products and services when delivering technology solutions.
These may include services such as Microsoft 365, Cloudflare, Odoo, AI providers, hosting platforms, SaaS applications, domain registrars, payment providers and other technology platforms.
Third-party services are generally subject to the provider's own terms and conditions.
Zetech is not responsible for changes, outages, failures, security incidents, pricing changes or discontinuation of a third-party service that is outside Zetech's reasonable control.
Where a third-party service is a required component of your solution, we will generally identify that dependency as part of the relevant proposal or agreement.
8. Microsoft 365, SaaS and cloud services
Where Zetech manages or administers Microsoft 365, SaaS or cloud environments on your behalf, you remain responsible for your organisation's business decisions, licensing requirements, users, data and appropriate use of those services.
Zetech will perform agreed administration, configuration, support and technical services within the scope of the applicable engagement.
Changes made directly by customers, other administrators or third-party providers may affect the configuration or operation of managed services.
9. Websites and digital projects
For website and digital development projects, ownership and licensing of deliverables will be determined by the applicable quote, proposal or agreement.
Unless otherwise agreed:
- Zetech retains ownership of its pre-existing code, frameworks, components, templates, tools and reusable intellectual property
- Third-party software, fonts, images, plugins, APIs and services remain subject to their respective licences
- Customer-provided content remains the customer's responsibility
- Custom deliverables may be transferred or licensed to the customer according to the agreed project terms
Zetech may retain the right to use general techniques, know-how, non-confidential components and reusable development methods developed during a project.
10. Intellectual property
The Zetech website, including its design, branding, text, graphics, software and other original material, is owned by or licensed to Zetech unless otherwise stated.
You must not reproduce, modify, distribute, sell or commercially exploit Zetech intellectual property without permission.
Nothing in these Terms transfers ownership of Zetech's intellectual property unless expressly agreed in writing.
11. Pricing and payment
Prices displayed on the website may be indicative and may change.
The price applicable to a specific engagement will normally be the price stated in the accepted quote, proposal or agreement.
Payment terms will be specified in the relevant quote or agreement.
Zetech may suspend work or services where an account remains overdue, subject to any applicable contractual or legal requirements.
Any applicable taxes, government charges, third-party subscription costs or other external charges will be identified where reasonably practicable.
12. Subscriptions and recurring services
Where Zetech provides recurring services, the applicable subscription, managed service or support agreement will specify:
- Recurring fees
- Billing frequency
- Included services
- Service limits
- Support arrangements
- Cancellation requirements
- Any applicable minimum term
Recurring services will not automatically be assumed to exist simply because a customer has previously purchased a one-off service.
13. Service availability
We aim to keep Zetech-operated services available and reliable, but we do not guarantee uninterrupted availability unless a specific service level agreement states otherwise.
Services may occasionally be unavailable due to:
- Maintenance
- Upgrades
- Security events
- Infrastructure failures
- Third-party outages
- Internet or telecommunications failures
- Events outside our reasonable control
Where a service is covered by a specific SLA, that SLA will govern availability and service-level commitments.
14. Security
Zetech takes reasonable measures to protect systems and information used to provide our services.
However, no internet-connected system can be guaranteed to be completely secure.
Customers are responsible for maintaining appropriate security practices within systems they control, including appropriate passwords, authentication methods, user permissions and administrative access.
Where Zetech identifies a material security concern within the scope of our services, we may recommend or require appropriate remedial action.
15. Confidentiality
Each party should treat confidential information received from the other party as confidential and use it only for legitimate purposes connected with the relevant business relationship.
Confidential information does not include information that:
- Is publicly available without a breach of confidentiality
- Was already lawfully known
- Is independently developed
- Must be disclosed by law or lawful authority
Additional confidentiality or non-disclosure obligations may be agreed separately where required.
16. Privacy and personal information
Zetech's handling of personal information is described in our Privacy Policy.
Where Zetech processes personal information on behalf of a customer as part of providing services, the customer may remain responsible for determining the purposes and means of that processing.
Additional privacy, security or data-processing requirements may be agreed as part of a customer contract.
17. Third-party content and links
The Zetech website may contain links to third-party websites or services.
These links are provided for convenience and do not mean Zetech endorses or controls those websites.
We are not responsible for the content, availability, security or privacy practices of third-party websites.
18. Service changes
Zetech may update, improve or modify its website, tools and services from time to time.
We may also discontinue a website feature or service where reasonably necessary.
Where a customer has an active agreement for a specific service, any contractual commitments under that agreement will continue to apply.
19. Suspension and termination
Zetech may suspend or terminate access to a website feature or service where reasonably necessary because of:
- Serious misuse
- Security risks
- Unlawful activity
- Non-payment
- Material breach of an applicable agreement
- Circumstances where continuing the service would create a significant risk to Zetech, its customers or other users
Where appropriate, we will provide notice and an opportunity to remedy the issue before suspension or termination.
Customer-specific termination rights will be governed by the applicable agreement.
20. Liability
Zetech will provide services with reasonable care and skill and will comply with rights and guarantees that cannot lawfully be excluded or limited.
Nothing in these Terms is intended to exclude, restrict or modify any right, remedy, guarantee or protection that cannot legally be excluded, restricted or modified.
To the extent permitted by law, Zetech is not responsible for loss caused by circumstances outside our reasonable control, including failures of third-party services, telecommunications networks, customer systems, customer-provided information or unauthorised actions by third parties.
Any agreed limitation of liability for a specific service will be set out in the applicable customer agreement.
21. Consumer rights
Nothing in these Terms is intended to remove or restrict rights available to consumers under New Zealand law, including rights that cannot legally be excluded or limited.
Where the Consumer Guarantees Act 1993, Fair Trading Act 1986, or other applicable legislation applies, those statutory rights continue to apply.
22. Events outside our control
Zetech will not be responsible for failure or delay caused by circumstances reasonably outside our control.
These circumstances may include major infrastructure failures, telecommunications outages, natural disasters, cyber incidents affecting external providers, government actions, war, civil emergencies or widespread technology failures.
We will take reasonable steps to minimise disruption and resume affected services when practicable.
23. Disputes
If a dispute arises, the parties should first attempt to resolve it directly and in good faith.
Where appropriate, the parties may agree to use mediation or another alternative dispute resolution process before commencing formal proceedings.
Nothing in this section prevents a party from exercising a legal right or seeking urgent relief where necessary.
24. New Zealand law
These Terms are governed by the laws of New Zealand.
The parties submit to the jurisdiction of the courts and tribunals of New Zealand, subject to any applicable statutory rights or requirements.
25. Changes to these Terms
We may update these Terms from time to time to reflect changes to our services, technology, business practices or legal requirements.
The latest version will be published on this page with the date of the most recent update.
Changes will not retrospectively alter the terms of an existing customer agreement unless permitted by that agreement or otherwise agreed by the parties.
26. If part of these Terms is invalid
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
